Terms & Conditions.

The legally binding terms that govern your access to and use of every product, platform and service offered by The Negotiator Group.

1.Acceptance of Terms

These Terms and Conditions (the "Terms") constitute a legally binding agreement between you (the "User", "you" or "your") and The Negotiator Group, together with its subsidiaries, affiliates, divisions and present or future Group Companies including The Negotiator International, The Apartment Pro, The Moving Concierge and The Negotiator Capital (collectively, the "Group", "we", "us" or "our").

By accessing or using our websites, mobile properties, application portals, customer service channels or any product or service provided by any Group Company (collectively, the "Services"), you confirm that you have read, understood and agreed to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, you must not access or use the Services.

2.Eligibility Requirements

  • You must be at least eighteen (18) years of age and have full legal capacity under Nigerian law to enter into binding contracts.
  • Where you act on behalf of a corporate entity, you represent that you are duly authorised to bind that entity to these Terms.
  • You must not be a sanctioned person, listed on any applicable sanctions list, or located in a jurisdiction subject to comprehensive Nigerian or international sanctions.
  • You must satisfy our KYC, AML and credit-assessment requirements where applicable to the Service requested.

3.Account Registration

Where the Services require an account, you agree to provide accurate, current and complete information, to keep your credentials confidential, to enable multi-factor authentication where offered and to notify us immediately of any unauthorised access. You are responsible for all activity that occurs under your account.

4.User Responsibilities

  • Comply with all Applicable Laws, including the FCCPA, the Cybercrimes Act and tax legislation.
  • Provide truthful, accurate and complete information in all forms, applications and communications.
  • Use the Services only for lawful purposes and only in the manner permitted by these Terms.
  • Cooperate with verification, due diligence and recovery procedures as reasonably required.

5.User Representations and Warranties

You represent and warrant that all information you provide is accurate, complete and not misleading; that funds used in any transaction are derived from lawful sources; that you have valid title to any asset offered as collateral, contribution or part-exchange; and that your use of the Services does not infringe any third-party rights or violate any law.

6.Prohibited Activities

  • Using the Services to facilitate fraud, money laundering, terrorism financing, tax evasion or any other criminal activity.
  • Submitting false, forged or stolen identification, financial or transactional information.
  • Reverse-engineering, scraping, decompiling or otherwise interfering with our digital infrastructure.
  • Uploading malicious code, conducting denial-of-service attacks or otherwise compromising security.
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
  • Using the Services to harass, defame, threaten or abuse other users, our staff or our partners.

7.Service Availability and Modifications

We strive to keep the Services available but do not warrant uninterrupted access. We may modify, suspend or discontinue any Service, feature, pricing or programme at any time, with or without notice, including for maintenance, security, regulatory or commercial reasons.

8.Account Suspension and Termination

We may suspend or terminate your access to the Services, with or without notice, where we reasonably believe you have breached these Terms, presented a security, regulatory or credit risk, failed verification, or where suspension or termination is required by Applicable Laws or court order. Termination does not affect accrued rights or obligations of either party.

9.Intellectual Property Rights

All content on our digital properties, including text, graphics, logos, trademarks, software, designs, photographs and compilations, is owned by or licensed to the Group and is protected by Nigerian and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to access the Services for personal, non-commercial use. All other rights are reserved.

9.2Trademark Protection

"The Negotiator Group", "The Negotiator International", "The Apartment Pro", "TNG Concierge", "The Negotiator Capital" and associated logos are trademarks of the Group. You may not use them without prior written consent.

9.3User-Generated Content

By submitting content (reviews, testimonials, photos, documents), you grant us a worldwide, royalty-free, perpetual, sub-licensable licence to use, reproduce and display such content in connection with the Services, subject to our Privacy Policy.

9.4Website Use Restrictions

You may not use any robot, spider, scraper, crawler or other automated means to access the Services, or to harvest data, except as expressly permitted by us in writing.

10.Special Terms — The Negotiator International

Mobility and luxury transport services are subject to the following additional terms, which prevail over inconsistent general terms.

10.1Vehicle Sales Terms

All sales are subject to a written sale agreement, payment in cleared funds and completion of due-diligence checks. Title transfers upon full payment and execution of transfer documents.

10.2Vehicle Inspection Disclaimer

Inspections, where offered, are limited to the documented framework agreed in writing and do not warrant against latent defects undetectable by standard visual, electronic-diagnostic and mechanical assessment.

10.3Vehicle Condition Disclaimer

Unless expressly stated, used vehicles are sold "as inspected", and we make no representation as to merchantability, fitness for a particular purpose or future performance beyond statutory protections.

10.4Vehicle Availability Disclaimer

Listings reflect availability at the time of publication and may change without notice. We are not liable for unavailability resulting from prior sale, market conditions or supply-chain disruption.

10.5Vehicle Transfer Requirements

You are responsible for registration, road-worthiness certification, insurance, taxes and statutory transfer fees, unless expressly assumed by us in writing.

10.6Vehicle Documentation Requirements

You must provide valid identification, proof of address, source-of-funds documentation and any further documents required to comply with KYC, AML and statutory transfer obligations.

10.7Vehicle Rental Terms

Rental vehicles must be used lawfully, returned in the condition received and operated only by approved drivers. You are liable for traffic offences, damage, loss and excess mileage charges arising during the rental period.

10.8Chauffeur Service Terms

Chauffeur services are provided subject to availability, safe-driving requirements, applicable traffic and licensing laws and reasonable rest-period rules for drivers.

10.9Fleet Management Terms

Fleet management services are provided pursuant to a written service-level agreement. Performance metrics, scope and fees shall be governed by that agreement.

10.10Private Jet Rental Terms

Charter of private aircraft is provided through licensed third-party operators. All flights are subject to operator availability, weather, air-traffic control approvals, and regulatory requirements of the Nigerian Civil Aviation Authority and equivalent foreign authorities.

10.11Boat Rental Terms

Boat charters are subject to weather, water conditions and the safety rules of the operating waterway authority. Life-jackets must be worn at all times.

10.12Yacht Rental Terms

Yacht charters are subject to itinerary changes for safety, port access and operator discretion. Damage deposits may be required.

10.13Luxury Transportation Terms

Luxury mobility services are provided on a best-efforts basis. The Group is not liable for delays caused by traffic, force majeure, regulatory action or third-party operator decisions.

11.Special Terms — The Apartment Pro

Real estate, shortlet and interior design services are subject to the following additional terms.

11.1Property Listing Terms

Listings are derived from information supplied by landlords, developers and partners. We endeavour to verify but do not warrant the accuracy, currency or completeness of any listing.

11.2Property Sales Terms

All sales require independent legal due diligence, valuation, title verification and execution of statutory transfer documents. Closing is subject to payment of all consents, fees and taxes.

11.3Property Management Terms

Management services are governed by a written management mandate setting out scope, authority limits, reporting and fees.

11.4Shortlet Terms

Guests must comply with house rules, occupancy limits, neighbour-courtesy requirements and check-in / check-out times. Security deposits and damage liability apply.

11.5Interior Design Service Terms

Design services are delivered against approved scopes and budgets. Variations require written change orders. Suppliers may impose their own warranty terms.

11.6Property Information Disclaimer

Floor plans, measurements, photographs and yield projections are indicative only. Buyers and tenants must independently verify before committing.

11.7Property Inspection Responsibilities

You are responsible for inspecting any property prior to signing and for engaging your own surveyors, valuers and legal advisers where appropriate.

12.Special Terms — TNG Concierge

Relocation, haulage, cleaning and staffing services are subject to the following additional terms.

12.1Relocation Service Terms

Relocation services are scoped in a written engagement letter. Government, immigration and customs decisions remain outside our control.

12.2Haulage Service Terms

Goods are accepted for haulage subject to inventory verification. Liability for loss or damage in transit is limited to the values declared and insured on the manifest.

12.3Moving Service Terms

You are responsible for disclosing high-value, fragile or hazardous items in advance. Failure to disclose may void liability for related loss or damage.

12.4Cleaning Service Terms

Cleaning scope, frequency and chemicals used are agreed in advance. We are not liable for damage to surfaces incompatible with disclosed cleaning methods.

12.5Staffing Service Terms

Staff placements are subject to background checks and probationary periods. Replacement guarantees are governed by the engagement letter.

12.6Employee Placement Disclaimer

Where we place candidates with you, the employment, supervision and statutory obligations to that staff member rest with you unless expressly engaged otherwise.

12.7Independent Contractor Provisions

Personnel deployed by us remain our independent contractors or employees and not your employees, unless an outsourcing or secondment agreement expressly provides otherwise.

13.Special Terms — The Negotiator Capital

Financing, leasing, mortgage, insurance brokerage and advisory services are subject to the following additional terms and to any specific facility agreement entered into between the parties.

13.1Financing Terms

All financing is subject to credit assessment, KYC/AML clearance, satisfactory collateral and execution of binding facility documentation. Indicative offers are not commitments to lend.

13.2Vehicle Financing Terms

Vehicle financing requires the minimum equity contribution stated in the offer, comprehensive insurance, GPS tracking where applicable and registration of our security interest until full repayment.

13.3Fleet Financing Terms

Fleet financing is structured against contracted cashflows, fleet utilisation and operator performance covenants set out in the facility agreement.

13.4Asset Financing Terms

Asset financing is secured against the financed asset and any additional collateral required. The asset must be insured and maintained throughout the facility tenor.

13.5Consumer Financing Terms

Consumer financing is governed by the FCCPA and applicable consumer protection rules. Borrowers are entitled to clear pre-contract disclosures of total cost of credit.

13.6Business Financing Terms

Business financing requires verification of corporate documents, beneficial ownership, financial statements and trading history. Personal guarantees of principals may be required.

13.7Equipment Leasing Terms

Leased equipment remains the property of the lessor or its funding partner throughout the lease term. The lessee is responsible for maintenance, insurance and statutory compliance.

13.8Lease-to-Own Terms

Title transfers only upon completion of all scheduled payments, residual settlement and discharge of any associated obligations.

13.9Hire Purchase Terms

The hirer obtains use, but not ownership, of the asset until the option to purchase is exercised on payment of the final instalment.

13.10Mortgage Facilitation Terms

We facilitate applications with licensed mortgage providers. Final approval, pricing and disbursement decisions remain with the relevant mortgage institution.

13.11Mortgage Terms

Mortgages are secured against the relevant real estate and subject to title perfection, governor's consent (where applicable), valuation and applicable statutory and regulatory requirements.

13.12Home Improvement Financing Terms

Disbursements may be staged against verified progress. Contractor performance remains the responsibility of the homeowner unless engaged through the Group.

13.13Construction Financing Terms

Subject to project monitoring, milestone certifications and quantity-surveyor sign-off prior to each tranche disbursement.

13.14Rent-to-Own Terms

Monthly payments comprise rent and an equity component. Failure to maintain payments may forfeit accrued equity in line with the relevant agreement.

13.15Insurance Brokerage Terms

We act as broker between you and licensed insurers. Policy terms, exclusions and claim decisions are made by the underwriter.

13.16Investment Advisory Disclaimers

Investment information is general in nature and does not constitute personalised investment advice unless we have entered into a written advisory engagement. Past performance is not indicative of future results.

13.17Wealth Management Partnership Disclaimers

Wealth management products are offered through licensed third-party partners. Suitability, custody and performance remain governed by those partners' agreements and regulators.

13.18Credit Assessment and Approval Terms

All credit decisions are at our sole discretion and that of our funding partners. We may decline any application without obligation to disclose reasons beyond what is required by law.

13.19Loan Eligibility Requirements

Eligibility may require minimum income, employment tenure, credit history, equity contribution, collateral and guarantor support as defined for each product.

13.20Default and Recovery Rights

On default, we may declare the facility immediately due, accelerate repayments, repossess financed or leased assets, enforce security, report to credit bureaus, set off against any account, and pursue all remedies available under law.

14.General Commercial Terms

The following commercial terms apply to all Services unless varied by a written agreement specific to that Service.

14.1Pricing and Fees

Pricing is quoted in Nigerian Naira unless otherwise stated, and may be revised for new bookings or applications. Quotes are valid for the period stated on the quote.

14.2Taxes

Prices exclude applicable taxes, including Value Added Tax, withholding tax, stamp duties and statutory levies, which shall be added or grossed up where required by law.

14.3Payment Terms

Payments are due in the manner and on the dates specified in the relevant invoice, quote or facility agreement. Late payment may attract interest, penalty fees and suspension of service.

14.4Refund Policy

Refunds are governed by the specific service agreement. Fees for services already substantially performed are non-refundable except where required by law.

14.5Cancellation Policy

Cancellation windows, notice periods and fees are set out in the relevant booking, application or service agreement.

14.6Chargeback Policy

Frivolous, fraudulent or bad-faith chargebacks may result in suspension, recovery action, reporting to relevant authorities and credit bureaus.

14.7Anti-Fraud Policy

We deploy fraud-detection systems and reserve the right to block, reverse, escrow or report any transaction reasonably suspected to be fraudulent.

14.8Identity Verification Requirements

You agree to complete identity verification as we may reasonably require, including biometric and document checks.

14.9AML and KYC Requirements

You agree to provide all information required for AML and KYC compliance, including source of funds and beneficial ownership.

14.10Sanctions Compliance

You confirm that you are not a sanctioned person and that no transaction will breach applicable sanctions regimes.

14.11Third-Party Services

Where third-party products or services are provided through us, they remain subject to the third party's own terms and we are not liable for their acts or omissions beyond our role as facilitator.

15.Limitation of Liability

To the maximum extent permitted by Applicable Laws, the aggregate liability of the Group and its directors, officers, employees, agents and partners arising out of or relating to the Services shall not exceed the total amount of fees actually paid by you to the relevant Group Company for the specific Service giving rise to the claim during the twelve (12) months preceding the event. In no event shall we be liable for indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profits, revenue, data, goodwill or business opportunity.

16.Disclaimer of Warranties

Except as expressly provided in a written agreement, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, title or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure or free of harmful components.

17.Force Majeure

Neither party shall be liable for failure or delay in performance due to events beyond its reasonable control, including acts of God, pandemic, war, terrorism, civil unrest, strikes, regulatory action, currency controls, cyberattacks, internet or telecommunications failures, banking system disruption or supply-chain failure.

18.Indemnification

You agree to indemnify, defend and hold harmless the Group Companies and their directors, officers, employees, agents and partners from and against all claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Services, your violation of any law or third-party right, or any misrepresentation made by you.

19.Release of Claims

Where you facilitate a transaction between yourself and a third party through our platform, you release the Group from claims, demands and damages of every kind arising out of disputes between you and such third party, except to the extent caused by our gross negligence or wilful misconduct.

20.Dispute Resolution

The parties shall first seek to resolve disputes amicably through good-faith negotiation for a period of thirty (30) days. If unresolved, disputes shall be referred to mediation under the Lagos Multi-Door Courthouse Rules before any other proceedings are commenced.

21.Arbitration Clause

Any dispute not resolved through negotiation or mediation shall be finally resolved by arbitration in Lagos, Nigeria, under the Arbitration and Mediation Act, 2023, by a sole arbitrator appointed by agreement of the parties, or failing agreement, by the Lagos Court of Arbitration. The language of arbitration shall be English. The award shall be final and binding.

22.Governing Law

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Federal Republic of Nigeria.

23.Class Action Waiver

To the extent permitted by Applicable Laws, you agree to bring claims against the Group only in your individual capacity, and not as a plaintiff or class member in any purported class, collective or representative proceeding.

24.Critical Protection Clauses

You acknowledge and agree that, to the maximum extent permitted by law, the Group shall not be liable for losses arising from the following categories of events, save where caused by our gross negligence or wilful misconduct:

24.1Fraudulent Transactions and Identity Theft

Losses arising from fraud or identity theft perpetrated by you or third parties using your credentials, identification or account.

24.2Financing and Mortgage Defaults

Consequences of your default under any facility, including reporting to credit bureaus, repossession and enforcement.

24.3Property and Vehicle Ownership Disputes

Disputes over title, ownership, encumbrances or registration involving counterparties, vendors, landlords or registries.

24.4Rental Disputes

Disputes arising between landlords, tenants, hosts, guests, vehicle owners and renters.

24.5Misrepresentation by Users

Losses caused by false or misleading information supplied by users, applicants, guarantors or referees.

24.6Staff Misconduct and Third-Party Failures

Acts or omissions of independent contractors, placed personnel and third-party partners beyond our reasonable supervision.

24.7Investment Losses and Insurance Disputes

Investment under-performance, losses or claim denials by underwriters and capital partners.

24.8Service Interruptions, Website Outages and Cyberattacks

Downtime, degradation or compromise of services caused by infrastructure providers, cyberattacks or other security events.

24.9Data Breaches

Beyond our statutory obligations under the NDPA, liability for data breaches is limited as set out in the Limitation of Liability section.

24.10Payment Disputes and Chargebacks

Disputes between you and payment service providers, card schemes and banks regarding processing, fees or chargebacks.

24.11Regulatory Changes

Changes in law, regulation, tariff, taxation, customs duty or government policy that affect pricing, availability or terms.

25.Survival of Clauses

Provisions which by their nature should survive termination, including intellectual property, limitation of liability, indemnification, governing law, arbitration and confidentiality, shall survive any termination or expiration of these Terms.

26.Severability

If any provision of these Terms is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent.

27.Future-Proofing of Services

The Negotiator Group may launch new subsidiaries, products, financing programmes, investment services, insurance services, digital services, technology platforms, mobility services, property services and other business offerings from time to time. Unless expressly stated otherwise in service-specific terms, these Terms and the Privacy Policy shall apply to all such future Services, and your continued use of any new Service after its launch shall constitute your acceptance of these Terms in relation to that Service.

28.Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy and any service-specific agreement, constitute the entire agreement between you and the Group with respect to the Services and supersede all prior understandings, representations and agreements.
